Meta’s $14.8 billion Scale AI deal drawing attention

Meta’s $14.8 billion investment in data-labeling firm Scale AI and the hiring of its CEO, Alexandr Wang, is drawing attention for how it may test U.S. regulators’ stance on “acquihire” deals—transactions that critics say can sidestep antitrust scrutiny.

Announced on Thursday, the deal gives Meta a 49% nonvoting stake in Scale AI, a startup that counts competitors like Microsoft and OpenAI among its clients. Because Meta did not acquire a controlling interest, the deal avoids mandatory U.S. antitrust review. Still, regulators could investigate if they believe the deal is structured to harm competition or dodge oversight.

The transaction comes as AI investment and partnership scrutiny increases. Alphabet’s Google has already cut ties with Scale, and other clients are reconsidering, sources said. Despite this, Scale AI maintains its operations remain strong and committed to protecting customer data.

Wang, 28, will join Meta but stay on Scale’s board with limited access to client-sensitive information, sources confirmed.

Legal experts say Meta’s approach may shield it from legal challenges, but concerns remain. Senator Elizabeth Warren called for scrutiny, warning that the deal could unlawfully extend Meta’s dominance if not checked.

Antitrust regulators under the Trump administration have taken a lighter stance on AI collaboration, although they remain wary of tech giants. The FTC and DOJ are still assessing other high-profile acquihire-style deals involving Amazon, Microsoft, and Google, with few enforcement actions so far.

Whether Meta’s move will trigger a formal investigation remains uncertain, but experts say regulators are watching closely as big tech firms deepen their influence in the AI industry.
